PUBLIC OFFER AGREEMENT PAPISH.ONLINE WEBSITE

The text set out below is addressed to individuals and legal entities and constitutes an official public offer to enter into an Agreement for the provision of educational services (courses, webinars) by granting access to participate in a training program on the PAPISH.ONLINE website, on the terms defined by this Agreement. This Agreement is concluded between the individual entrepreneur (sole proprietor) Oleksandr Mykhailovych Papish and the person who has accepted the offer in the manner specified in this Agreement and has joined the Agreement in full, having accepted its essential terms.

1. Key Terms Used in This Agreement

1.1. Agreement — this agreement for the provision of educational services (courses, webinars) by granting access to participate in a training program on the PAPISH.ONLINE website, concluded between the Provider and the Client. This Agreement is an official electronic document, and its terms are the same for all Clients.

1.2. Provider — the individual entrepreneur (sole proprietor) Oleksandr Mykhailovych Papish.

1.3. Client — an individual who has visited and/or completed the registration procedure on the PAPISH.ONLINE website and/or via a payment link and has concluded this Agreement by accepting the offer in the manner specified in this Agreement, joining the Agreement in full (without exceptions, additions, or reservations). By accepting the terms of this Agreement, the Client concludes it by joining it in full, and confirms that they have reached 18 years of age, that there are no circumstances limiting their civil legal capacity, that the information provided by them is true and up to date, and that they understand the meaning of their actions, that all terms of the Agreement are clear to them, that they are not acting under the influence of a mistake (deception, coercion, threat, etc.), and that they fully agree with and unconditionally accept all essential terms of this Agreement.

1.4. Parties — a joint reference in the Agreement to the Provider and the Client.

1.5. Method of Concluding This Agreement — the Provider's official public offer is deemed accepted by the Client, and this Agreement enters into force and is deemed concluded with the Client from the moment of visiting, joining PAPISH.ONLINE and/or purchasing educational services on the website.

1.6. Software — computer programs and algorithms of actions, arranged in an established system and logically interconnected by the purposes for which the PAPISH.ONLINE Website was created, which are an integral part thereof and provide the functional basis for the operation of the Website.

1.7. Website Resources — PAPISH.ONLINE itself, as a complex object of copyright, other intellectual property objects placed on the website, including but not limited to Software (computer programs and algorithms of actions), databases and their catalogues, graphic images, video, audio signals, texts and other information, arranged in an established system and logically interconnected by the purposes for which the website was created.

1.8. Services — educational services (courses, webinars) provided by the Provider to the Client by granting the latter access to participate in a training program on the terms of this Agreement, after their selection by the Client on the Website and payment for them.

2. Subject Matter of the Agreement

2.1. The Provider undertakes to provide the Client with the Services selected by the Client on the website, and the Client undertakes to pay for them and accept them within the time frames and on the terms specified in this Agreement and in the relevant section of the website.

2.2. The Provider offers the Client a choice of paid educational services (courses, webinars) related to providing the Client with access to participate in a training program organized by the Provider.

2.3. The program of a training course/webinar is formed at the Provider's discretion and is placed (published) by it on the PAPISH.ONLINE website.

2.3.1. The course/webinar program referred to in clause 2.3 of this Agreement is not final and may be changed (clarified, supplemented, etc.) by the Provider at its discretion at any time, with information thereon placed (published) by it on PAPISH.ONLINE.

3. Website Registration Procedure and Procedure for Providing Services

3.1. The Provider ensures the provision of services to the Client under this Agreement after the Client has completed the registration procedure on the PAPISH.ONLINE website.

3.1.1. The Client has access on the PAPISH.ONLINE website to types of training packages (courses and/or webinars) that grant the Client the right to attend the topics specified in the program of the relevant course/webinar, at their discretion, within the terms of the selected package.

3.1.2. The Client gains access to training materials on PAPISH.ONLINE via a secure link/personal account, which is sent to them automatically.

3.2. In order to be able to participate in the training program, the Client must pay for the selected type of package (course/webinar) using any of the methods specified on the website.

3.3. After making payment, within 1 (one) calendar day the Client receives a link/access to PAPISH.ONLINE, which enables them to go to the training website and view the materials of the course/webinar.

3.4. The link/access to participate in the online course/webinar is personal and may not be transferred to third parties.

3.5. The Provider's obligations to provide services under this Agreement are deemed fulfilled, and the services deemed provided to the Client in full, upon completion of the training program/webinar, regardless of whether the Client actually visited the training website, and regardless of whether the Client viewed the materials or not. In this regard, no documents (including acts of completed work, etc.) confirming the provision of services under this Agreement are drawn up (signed) between the Provider and the Client.

4. Cost of Services, Payment Terms, and Refund Conditions

4.1. The cost of the Provider's services and the terms for granting discounts are specified on the pages of the offered educational services on the PAPISH.ONLINE website.

4.2. Payment for the Provider's services is made in Ukrainian hryvnia (UAH), unless otherwise specified on the relevant page of the website.

4.3. Payment for the Services provided by the Provider is made by the Client in non-cash form by transferring funds to the Provider's bank account using any of the methods specified on the website.

4.3.1. Information that the payment has been successfully made will be sent to the Client automatically (after it is received by the Provider) to the email address specified by them during the registration procedure on the website.

4.4. Payment for the Provider's services is made by the Client on a prepayment basis, unless otherwise specified in this Agreement and/or in the relevant section of the website.

4.5. Payment in installments (if available for the selected package) is made in two equal payments.

4.5.1. The Client pays the first installment immediately, and access to the Service is granted upon successful payment.

4.5.2. The second part of the cost is paid exactly one month later. If the second payment is not made, access to the Service is terminated.

4.6. After payment for the Services, upon the Client's respective request, the Provider shall refund the Client the amount paid in full, if such a request was received before the provision of the Services began.

4.7. In the event that a refund request is received from the Client by the Provider within one working week of the date the provision of the Services began, regardless of whether access to any elements of the course/webinar and/or materials was granted, the Provider shall refund the Client 75% of the amount paid.

4.8. In the event that a refund request is received from the Client by the Provider after the start of the second working week from the date the provision of the Services began, regardless of whether access to any elements of the course/webinar and/or materials was granted, the funds credited to the Provider's current account for the Service shall not be refunded to the Client, shall not be transferred to any third party, and shall not be compensated in any way, and shall be retained by the Provider as a penalty for unilateral withdrawal from the Agreement.

4.9. The Client shall send refund requests to the Provider at the email address specified on the PAPISH.ONLINE website.

5. Client Obligations and Established Restrictions

5.1. Client obligations:

5.1.1. The Client is obliged to ensure the security, confidentiality, and safekeeping of the secure link/access to PAPISH.ONLINE. The Client undertakes not to allow such link/access to be compromised, including by transferring it to third parties. The Client agrees that the Provider cannot and will not be liable for any damages caused to the Client and/or third parties as a result of the Client's failure to comply with the rules of confidentiality and safekeeping of secure access to PAPISH.ONLINE.

5.1.2. The Client is obliged to use PAPISH.ONLINE, the Software, and/or other intellectual property objects located on the website, the rights to which belong to the Provider, in accordance with the legislation of the state in which they are located. The Client is obliged to first make sure that the legislation of the state in which they are located permits the use of PAPISH.ONLINE, the Software, and/or other intellectual property objects located on the website. The Provider complies with the restrictions established by the legislation of Ukraine regarding the conduct of commercial activities in localities temporarily controlled by public authorities, in connection with which the Provider does not accept payment and does not provide services under this Agreement to persons subject to the said restrictions.

5.2. Established restrictions. The Client is prohibited from:

5.2.1. Committing actions that violate the Provider's property rights to PAPISH.ONLINE, the Software, and/or other intellectual property objects, as well as the copyright and/or related rights and intellectual property rights of third parties to intellectual property objects placed on the website, including but not limited to unauthorized copying, modification, or use of materials and content placed on PAPISH.ONLINE.

5.2.2. Committing actions related to the unauthorized collection, storage, use, or disclosure of the personal data of the Provider's clients obtained in the course of using the resources of PAPISH.ONLINE.

5.2.3. Modifying and/or hacking PAPISH.ONLINE for unlawful purposes of misleading the Provider's clients and/or third parties about the resources of PAPISH.ONLINE, the Provider's services, operations on PAPISH.ONLINE, and their relationship with the Provider, as well as providing other false information.

5.2.4. Attempting unauthorized access to PAPISH.ONLINE servers, software, computers, or databases, or other equipment and technical means related to PAPISH.ONLINE and/or the Provider.

5.2.5. Interfering with the operation of PAPISH.ONLINE, the Software, or the services available on the website's resources, including affecting or attempting to affect the availability of PAPISH.ONLINE, the Software, or the pages of the website, by carrying out DOS attacks ("denial of service") and/or DDOS attacks ("distributed denial of service").

5.2.6. Using, applying, or introducing (or otherwise carrying out similar actions) on PAPISH.ONLINE or in relation to PAPISH.ONLINE, the Software, the Provider, or its clients, any malicious software (program code), including but not limited to network worms, viruses, spiders, Trojan programs, logic bombs, and other means that may cause harm or be technologically dangerous to PAPISH.ONLINE, the Software, the Provider, or its clients.

5.2.7. Carrying out other actions aimed at causing harm to PAPISH.ONLINE, the Software, the Provider, and its clients, including but not limited to actions aimed at bypassing, disabling, or otherwise interfering with the operation of the security functions of PAPISH.ONLINE.

5.2.8. Committing actions aimed at carrying out functional operations initiated on PAPISH.ONLINE without the involvement of PAPISH.ONLINE and the Provider and/or with the aim of bypassing them, and/or evading payment for the Provider's services, etc.

5.2.9. Committing actions that may cause the Provider to be held liable, or that may cause the suspension or termination of the provision of services by third parties in favor of the Provider and/or its clients.

5.2.10. Using PAPISH.ONLINE and/or the Software for unlawful purposes, as well as carrying out any other actions on the website that may violate the provisions of this Agreement and the legislation of Ukraine.

6. Protection of Intellectual Property Rights

6.1. The Provider informs the Client that it has the right to use PAPISH.ONLINE with the right to grant permission (a sublicense) to use the website, the Software, and/or other intellectual property objects located on PAPISH.ONLINE, to third parties.

6.2. The Provider grants the Client a limited, non-exclusive permission (non-exclusive sublicense), without the right of sublicensing and transfer, including all improvements, changes, corrections, updates, and future versions, to use PAPISH.ONLINE, the Software, and/or other intellectual property objects located on the website, the rights to which belong to the Provider, in the following manner: to personally use the resources of PAPISH.ONLINE, including the Software, solely for their own educational needs. The Provider reserves all rights not granted to the Client under the terms of this clause of the Agreement.

6.3. The Client has no right to carry out other actions not specified in the non-exclusive permission (non-exclusive sublicense) with respect to PAPISH.ONLINE, the Software, and/or other intellectual property objects located on the website, the rights to which belong to the Provider.

6.3.1. Unless otherwise directly provided for by the applicable legislation of Ukraine, and the Client agrees to this, the Client is prohibited from:

I) selling, transferring for use, renting or leasing, exporting, importing, distributing, transferring as security to any third party, granting sublicenses, or otherwise granting rights to third parties to PAPISH.ONLINE, the Software, and/or other intellectual property objects located on the website, the rights to which belong to the Provider;

II) performing, forcing, permitting, or authorizing modifications, improvements, translation, reverse engineering, decompiling, disassembling, decrypting, emulating, cracking security protections, or restoring or attempting to restore the source code or protocols of PAPISH.ONLINE and/or the Software, or any part of their functions, changing technical restrictions, or creating derivative products based thereon (except as permitted by law);

III) removing, concealing, or altering any intellectual property notices contained on PAPISH.ONLINE, in the Software, and/or in other intellectual property objects located on the website;

IV) using PAPISH.ONLINE, the Software, and/or other intellectual property objects located on the website (or any part thereof) in commercial products or services for the provision of such products or services to third parties, or compelling such use;

V) using PAPISH.ONLINE, the Software, and/or other intellectual property objects located on the website, the rights to which belong to the Provider, in any way that bypasses established protective measures;

VI) carrying out other actions that violate the Provider's property rights to PAPISH.ONLINE, the Software, and/or other intellectual property objects located on the website.

7. Personal Data

7.1. By accepting the terms of this Agreement, in order to comply with the requirements of Ukrainian legislation on the protection of personal data, the Client grants the Provider permission (unambiguous and unconditional consent) to transfer, process, and store their personal data (surname, first name and patronymic, email address, mobile phone number, city of residence, and other data) that has become known to the Provider as a result of the Client's interaction with PAPISH.ONLINE, by any means, including but not limited to collection, recording, processing, storage, systematization, accumulation, adaptation, use, including inclusion in the Provider's personal data database, transfer to third parties within their competence (provision, access), dissemination, blocking, and deletion. The Client grants permission (unambiguous and unconditional consent) to the Provider to disseminate personal data in cases directly provided for by law and exclusively upon the request of a government body authorized to receive such information, or when the need to disseminate data in a certain form and volume directly follows from legislation.

7.1.1. The Client who has concluded this Agreement consents to the Provider using their personal data specified in this Agreement for the purpose of fulfilling the terms of this Agreement, complying with legal requirements, maintaining accounting records, preparing documents, and for other purposes somehow related to this Agreement.

7.2. Processing of personal data must be carried out by the Provider in accordance with the requirements of legislation on the protection of personal data. The said consent to the processing of the Client's personal data is indefinite and does not depend on the term of this Agreement.

7.3. The Client has been informed of their rights as a personal data subject. In particular, the Client as a personal data subject, in accordance with the Law of Ukraine "On Personal Data Protection," has the right to: (I) know the sources of collection and location of their personal data and the purpose of its processing; (II) receive information about the conditions for granting access to personal data, in particular information about third parties to whom their personal data is transferred; (III) access their own personal data; (IV) receive, no later than 30 calendar days from the date of receipt of the request, a response as to whether their personal data is being processed or stored, and also receive the content of such personal data; (V) submit a reasoned demand to object to the processing of their personal data; (VI) submit a reasoned demand regarding the modification or destruction of their personal data if such data is processed unlawfully or is inaccurate; (VII) protection of their personal data from unlawful processing and accidental loss, destruction, or damage; (VIII) file complaints regarding the processing of their personal data with an authorized body or in court; (IX) apply legal remedies in the event of a violation of legislation on the protection of personal data; (X) make reservations regarding restrictions on the right to process their personal data when giving consent; (XI) withdraw consent to the processing of personal data; (XII) know the mechanism of automatic processing of personal data; (XIII) protection from an automated decision that has legal consequences for them.

8. Procedure for Termination of the Agreement and Its Consequences

8.1. The Client may, at any time and for any reason, including in the event of non-acceptance of amendments to the terms of this Agreement proposed by the Provider after its conclusion, terminate this Agreement unilaterally and without recourse to court. To do so, it is necessary to send a request to the Provider and cease using the resources of PAPISH.ONLINE.

8.2. The Provider may, at any time, unilaterally and without recourse to court, terminate this Agreement or suspend/terminate the Client's use of the resources of PAPISH.ONLINE, prohibit (block) access to the personal account and the website's resources, having first notified the Client thereof:

I) immediately, if the Client has violated the terms of this Agreement;

II) immediately, if the Provider reasonably suspects that the Client is using the resources of PAPISH.ONLINE for the purpose of violating the law or the rights of third parties;

III) immediately, if the Provider reasonably suspects that the Client or a third party is using the resources of PAPISH.ONLINE in a fraudulent manner;

IV) immediately, if the Provider believes that this is required by amended laws or regulations, an unfavorable interpretation of laws or regulations, the position of a competent authority, etc.

8.3. The Provider effects the termination of the Agreement or the provision of services by denying the Client access to the PAPISH.ONLINE resource. The Provider bears no liability for refusing to provide access to the website's resources.

8.4. Upon termination of the contractual relationship between the Provider and the Client:

(I) the non-exclusive permission (non-exclusive sublicense) granted to the Client under the terms of this Agreement to use PAPISH.ONLINE, the Software, and/or other intellectual property objects placed on the website, is immediately terminated;

(II) the Client immediately ceases any use of the resources of PAPISH.ONLINE, the Software, and/or other intellectual property objects placed on the website.

9. Liability of the Parties

9.1. The Client understands and agrees that the Provider bears no liability whatsoever to the Client under this Agreement, civil law, or any other type of legal liability, even if the Provider has been informed of the possibility of damages or losses being caused, for actions (and/or omissions) of the Client related to the use of the resources of PAPISH.ONLINE and their consequences for the Client and/or third parties, as well as for any unauthorized (unlawful) actions of third parties related to the use of the website's resources and their consequences for the Client and/or third parties, including in the event of the following damages and losses:

I) any direct, indirect, incidental, or consequential damages;

II) any loss of reputation, including business reputation (direct or indirect);

III) any loss of or damage to data (direct or indirect).

9.2. The Client has the right to apply, as an appropriate remedy against any legal issues or dissatisfaction with the resources of PAPISH.ONLINE, refusal to use the website's resources.

9.3. In the event that unlawful copying/distribution of the training program's materials is recorded, the Client shall be subject to penalties in an amount to be separately determined by the Provider and published on the website, and any access to the training program shall be terminated.

10. Term of the Agreement and Applicable Law

10.1. This Agreement is valid from the moment of its conclusion by the Parties until its termination, either due to performance by the Provider or due to termination on the grounds of early termination at the initiative of the Client or the Provider, in the manner provided for in Section 8 of this Agreement.

10.2. This Agreement is concluded in accordance with the substantive law of Ukraine.

11. Other Provisions of the Agreement

11.1. By concluding this Agreement, the Client confirms that they have received, in full, the information from the Provider prior to the conclusion of this Agreement that is provided for by consumer protection legislation.

11.2. The Provider reserves the right to unilaterally amend the procedure for providing services, change the terms of the non-exclusive permission (non-exclusive sublicense) to use PAPISH.ONLINE, the Software, and/or other intellectual property objects located on the website, the rights to which belong to the Provider, establish additional restrictions, or withdraw this non-exclusive permission (revoke it) at any time, in the manner provided for by this Agreement. Notice of changes to the terms of this Agreement shall be posted by the Provider on PAPISH.ONLINE. Changes shall take effect from the moment of their posting (publication) on the website, unless a different effective date is additionally specified when they are posted (published). The Client understands and agrees that their express acceptance of the amended terms of this Agreement, or their use of the resources of PAPISH.ONLINE after the date of publication of the changes, constitutes such Client's consent to the amendment of the terms of this Agreement. If the Client does not accept the amended terms of the Agreement, they have the option to terminate this Agreement in the manner provided for in Section 8 of this Agreement.

11.3. The Provider reserves the right, at any time and at its own discretion, to improve, change, correct, or update versions of PAPISH.ONLINE.

11.4. This Agreement is concluded in the Ukrainian and English languages in electronic form.
